Terms & conditions
The commercial basis on which Westman quotes, produces and supplies tools. The proforma invoice and purchase order for a specific shipment take precedence.
1. Application
These terms apply to all quotations, samples, proforma invoices and sales contracts issued by Westman Industrial Tools unless a signed written agreement says otherwise. Placing an order confirms acceptance of these terms. Registered entity: Westman Industrial Tools Pvt. Ltd., Plot 118, Focal Point, Phase II, Ludhiana 141003, Punjab, India (CIN and GSTIN to be inserted before launch - sample details only).
2. Quotations and pricing
- Quotations are valid for 15 days from the date of issue unless stated otherwise.
- Prices are based on the quantities, packing and Incoterm shown on the quotation.
- Raw material, freight and duty changes after the quotation date may affect the price.
- Typographical and specification errors are corrected before shipment.
- Tool dimensions, weights and specifications shown on this website are typical values for layout purposes.
3. Orders and minimum quantities
An order is accepted when confirmed in writing by Westman with a proforma invoice. Minimum order quantities vary by product; custom tooling and private label programmes require higher volumes. Mixed cartons are possible for catalogue items within the same category, subject to confirmation.
4. Drawings, samples and custom work
Where goods are made to a customer drawing or sample, the drawing or sample approved by the customer is the sole reference for the finished product. Weights, materials and production methods remain ours to specify. Tooling for custom work is owned by Westman unless agreed otherwise in writing, and remains on site for repeat orders.
5. Payment terms
- T/T (telegraphic transfer): normally 30% deposit with order, balance against copy bill of lading.
- L/C at sight, or irrevocable L/C at 30 or 60 days, against proforma invoice.
- Other arrangements confirmed in writing for established accounts.
- Bank charges outside the country of supply are for the buyer's account.
- Title in the goods passes on receipt of full payment.
6. Production and lead times
Lead times run from the date of receipt of the deposit, approved drawing or sample, and confirmed purchase order. Indicative lead times are given on the quotation. Delays caused by late approval, late payment or changes requested by the buyer extend the lead time accordingly. Partial shipment is permitted with the buyer's written consent.
7. Samples
Samples are supplied for evaluation. Sample cost is credited against the first production order where agreed. Samples are not produced to be sold and are excluded from warranty claims unless a defect is present.
8. Inspection and certification
Goods are inspected as described on the quality control page. Inspection levels, test methods and third-party or pre-shipment inspection requirements are agreed in writing before production starts. Certificates and test reports are issued only for products and standards actually held; no certification is implied by website content.
9. Packing and marking
Standard export packing uses cartons with reinforced outer packing and steel or plastic strapping as appropriate. Private label packing, barcodes, colour cartons and pallet specifications must be agreed in writing before production. Packing details are confirmed on the order acknowledgement.
10. Delivery and risk
- Delivery is on the Incoterm stated on the proforma invoice, normally FOB or CIF; EXW on request.
- Goods are packed to suit sea or road transport; damage caused by insufficient packing is not our liability.
- Title and risk pass as defined by the agreed Incoterm 2020 rule.
- Shipping documents are provided by courier after shipment: commercial invoice, packing list and bill of lading.
11. Warranty
Goods are warranted against defects in material and workmanship for the period stated on the proforma invoice, commonly twelve months from the date of shipment. The warranty does not cover wear from normal use, incorrect application, damage from impact or misuse, use beyond the tool's rated capacity, or failure to follow the instructions supplied. Power tool warranty periods differ by product and must be specified per item.
12. Claims
Claims for shortage, damage or defects must be notified in writing within seven days of arrival, with photographs and the packing list reference. Claims made after that period, or claims not evidenced by photographs and carton marking, may be declined. Replacement or credit is at our option after inspection.
13. Intellectual property
Our catalogue photographs, drawings, tool designs and website content remain our property. A customer may use catalogue images for resale of goods bought from us. Designs supplied by a customer remain the customer's property, and we claim no rights over them.
14. Confidentiality
Drawings, samples, prices and technical information exchanged during an enquiry or order are treated as confidential and used only to fulfil that enquiry or order. This obligation continues for five years after the last disclosure.
15. Force majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, epidemic, war, strike, port closure, power or raw material shortage, and government action or export restriction.
16. Limitation of liability
Except where liability cannot be limited by law, our total liability is limited to the invoice value of the goods concerned. We are not liable for indirect or consequential loss, including loss of profit, production or business. Nothing in these terms excludes liability for fraud or for injury caused by negligence.
17. Governing law and disputes
These terms are governed by the laws of India. Where the seller and the buyer are both established in India, the courts at Ludhiana, Punjab have exclusive jurisdiction. Where the buyer is established outside India, disputes are first referred to senior negotiation between both parties and, if unresolved within 30 days, are settled by arbitration or by the courts agreed in writing at the time of the order.
